This End User License Agreement (the "Agreement") governs use of the internal software integration identified in the Intuit Developer portal as hermes (the "Software"), provided by Dido Internet Inc. ("we", "us"). By authorizing or using the Software, you agree to these terms.
The Software is licensed solely for the internal business use of Dido Internet Inc. and its authorized employees and contractors, against the company's own QuickBooks Online subscription. It is not licensed for resale, sublicensing, redistribution, or use on behalf of any third party or any other Intuit customer.
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Software for the internal bookkeeping purposes described in our Privacy Policy. No rights are granted other than those expressly stated.
The Software connects to QuickBooks Online only through the official Intuit authorization flow, using credentials issued to us by Intuit. You may revoke that authorization at any time from your QuickBooks company (Apps → Manage apps) or by asking us to remove the stored credentials. Revocation ends the Software's ability to read the company file.
You agree not to use the Software to access data you are not authorized to access, to circumvent Intuit's terms of service or usage limits, to attempt to reverse engineer or interfere with the Software's security controls, or to export company data for any purpose unrelated to the internal bookkeeping purposes described above.
The Software is provided "as is" and "as available", without warranty of any kind, express or implied, including fitness for a particular purpose and accuracy of extracted figures. Documents and totals extracted by the Software are operational aids and must be reviewed before being relied upon for accounting, tax or financial reporting.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits or lost data, arising from use of the Software. Our total liability under this Agreement will not exceed the amount actually paid for the Software, which for an internal tool is nil.
The Software is an internal tool of Dido Internet Inc. It is not endorsed by, sponsored by, or affiliated with Intuit Inc. QuickBooks and Intuit are registered trademarks of Intuit Inc.
We may suspend or terminate access to the Software at any time, including on revocation of the Intuit authorization or on cessation of your role with the company. Sections 5, 6 and 9 survive termination.
This Agreement is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein.
